  • 1. Marketplace Platform Services

    Spinner LLC provides a proprietary technology platform that connects independent retail Merchants with consumers for the purchase and logistics of various goods. Spinner LLC acts exclusively as a facilitator and does not take title to any products sold through the platform. Users acknowledge that Spinner LLC is a marketplace and that the actual contract for sale is directly between the User and the Merchant.

    2. Payments & Financial Transactions

    All financial transactions are processed securely through Stripe, our third-party payment processor. By completing a purchase, you agree to comply with Stripe’s Services Agreement. Spinner LLC does not store full credit card information and relies on Stripe’s encrypted infrastructure for all billing activities. All prices are listed in USD and are subject to change based on vendor pricing and delivery fees.

    3. Age-Restricted Deliveries

    To maintain compliance with safety standards and local regulations regarding Age-Restricted Products, Spinner LLC enforces a strict two-step verification protocol. Failure to complete either step will result in immediate order cancellation without a full refund.

    Step 1: Prior-to-Delivery Digital Verification

    Before an order containing Age-Restricted Products is dispatched, the User must complete a digital identity verification via the Spinner LLC platform. This requires:

    • Uploading a clear, high-resolution image of a valid government-issued photo ID.

    • Completion of a "liveness check" or selfie verification if prompted by our security software.

    • Verification that the account holder's name matches the name on the provided identification.

    Step 2: Physical ID Check at Point of Delivery

    Digital verification does not waive the requirement for a physical check. Upon arrival of the delivery partner:

    • The recipient must present the original physical version of the same ID used during Step 1. Digital copies or photos of IDs will not be accepted at the door.

    • The delivery partner will perform a visual inspection and may utilize mobile scanning technology to validate the ID's security features.

    • Deliveries will only be completed to the specific individual named on the order. No "proxy" pickups or "leave at door" requests are permitted for restricted items.

    5. Refusal of Service & Non-Refundable Fees

    Spinner LLC delivery partners reserve the absolute right to refuse delivery if identity cannot be verified, if the recipient is under the legal age, or if the recipient appears intoxicated or incapacitated. In the event of a verification failure at the door, the User may be charged a Restocking & Logistics Fee to cover the cost of the return trip to the Merchant and administrative overhead.

    6. User Accounts & Responsibilities

    You are responsible for maintaining the confidentiality of your account credentials. You represent that any Age-Restricted Product is for your personal use and not for resale or distribution to minors. Provision of fraudulent identification is a violation of these terms and may result in permanent suspension of your account and reporting to local authorities.

    7. Limitation of Liability

    To the fullest extent permitted by law, Spinner LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the Service or the consumption of products purchased through the Marketplace. Responsibility for product quality and compliance rests solely with the Merchant. Users agree to indemnify Spinner LLC against any legal actions arising from the misuse of the service.

  • 1. Introduction

    This Vendor Policy ("Policy") governs the relationship between Spinner LLC ("the Platform") and independent merchants ("Vendors") who wish to list and sell products through the Spinner LLC marketplace. To ensure a safe and compliant ecosystem, all Vendors must adhere to the standards outlined herein.

    2. Mandatory Stripe Onboarding and Approval

    Spinner LLC utilizes Stripe Connect to facilitate secure transactions and vendor payouts. No Vendor shall be permitted to operate, list products, or receive orders on the Spinner LLC platform until they have successfully completed the Stripe onboarding process and received explicit approval from Stripe's underwriting and compliance teams.

    • Vendors must provide all requested business and personal information directly to Stripe via the Spinner LLC dashboard.

    • Stripe reserves the right to request additional documentation or deny service based on their internal risk assessment and Restricted Business policies.

    3. Standard Business Documentation

    For internal records and tax compliance, all Vendors, regardless of product category, must provide Spinner LLC with the following information during onboarding:

    • Legal Entity Information: Official business name, Registered Trade Name (DBA), and Employer Identification Number (EIN).

    • Business Address: A verified physical location for the business (P.O. Boxes are not accepted).

    • Contact Information: Legal representative's name, email, and phone number.

    • Banking Information: Valid bank account details for electronic fund transfers (processed via Stripe).

    3a. Special Requirements for Age-Restricted Businesses

    Vendors seeking to sell products designated as "Age-Restricted" must meet higher compliance standards. Spinner LLC maintains a zero-tolerance policy for regulatory non-compliance. Prior to onboarding, these Vendors must submit:

    • Relevant Licenses: Valid state and local business licenses specific to the retail of the products offered (e.g., Merchant Licenses, Specialty Retail Permits).

    • Testing Reports (COAs): Comprehensive third-party Laboratory Testing Reports or Certificates of Analysis (COAs) for every product batch, proving compliance with local and federal legal limits.

    • Regulatory Documentation: Any additional documentation required by jurisdiction, such as tax stamps, production permits, or safety data sheets.

    • Product Inventory Disclosure: A full list of ingredients and potency levels for all listed items.

    5. Ongoing Compliance and Audits

    Spinner LLC reserves the right to perform periodic audits of Vendor documentation and inventory. Vendors are required to update their records (e.g., license renewals) within 48 hours of expiration. Failure to maintain up-to-date regulatory info will result in immediate suspension of the Vendor's storefront.

    6. Product Representation

    Vendors are responsible for the accuracy of their product listings, including descriptions, pricing, and images. Vendors must ensure that no marketing material targets minors or violates platform advertising guidelines.

    7. Indemnification

    Vendors agree to indemnify and hold harmless Spinner LLC from any legal claims, fines, or penalties arising from the sale of illegal, defective, or mislabeled products, or from the Vendor's failure to maintain proper licensing.

  • At Spinner LLC, we strive to provide a seamless marketplace experience. Because we are a technology platform that facilitates deliveries from third-party Merchants, our refund policies are designed to balance the needs of our customers, our delivery partners, and our vendors.

    1. General Refund Rules

    Refund requests are handled on a case-by-case basis. Since Spinner LLC does not manufacture or own the products sold on the platform, final approval for product-related refunds rests with the Merchant who fulfilled the order.

    • Missing or Incorrect Items: If an item is missing from your order or you received the wrong product, please contact us via the help center within two (2) hours of delivery. We will work with the Merchant to issue a partial refund or credit.

    • Quality Issues: If you are unsatisfied with the quality of a product, Spinner LLC will facilitate a conversation with the Merchant. We cannot guarantee a refund for subjective quality preferences once a product has been opened or consumed.

    2. Cancellations

    • Before Dispatch: You may cancel your order for a full refund if the Merchant has not yet started preparing the order or assigned it to a delivery partner.

    • After Dispatch: Once an order is in transit with a delivery partner, it cannot be canceled. If you choose to refuse the delivery at the door for reasons other than a Merchant error, you will not be eligible for a refund of the delivery fee or service fees.

    3. Failed Identity Verification (Important)

    Spinner LLC enforces strict age-verification protocols for specific marketplace items. No refunds will be issued for orders that fail our two-step verification process at the door.

    A refund will be denied and a Restocking Fee may be applied if:

    1. The recipient is under the legal age (21+).

    2. The recipient fails to provide a valid, physical, government-issued photo ID.

    3. The name on the ID does not match the name on the order.

    4. The recipient appears intoxicated or incapacitated at the time of delivery.

    In these instances, the delivery partner will return the items to the Merchant, and the user will remain responsible for the delivery and service fees.

    4. Refund Processing Time

    Once a refund is approved by the Merchant and processed by Spinner LLC, the funds will be returned to your original payment method.

    • Credit Card/Debit Card: Usually takes 5–10 business days to appear on your statement, depending on your bank's processing times.

    • Stripe Processing: As we use Stripe for payment processing, Spinner LLC is subject to Stripe's standard refund timelines.

    5. Non-Refundable Fees

    Under no circumstances are the following fees refundable once a delivery attempt has been made:

    • Delivery Fees

    • Service/Platform Fees

    • Tips provided to delivery partners
